ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.

     (b) Mark F. Wilson informed the Board of Directors that he will not stand for re-election as director of the Company for personal reasons. Mr. Wilson has been a director of the Company since January 1997 when his company of nine funeral homes and cemeteries in California merrged with Carriage Services, Inc. His term expires on the date of the Company’s next annual shareholders meeting, May 22, 2007.
